思路迪医药股份有限公司（股票代码：01244，已在香港联合交易所有限公司主板上市）近日发布公告称，公司拟在股东周年大会上寻求授权，最多可回购不超过该公司于决议通过当日已发行股份总数10%的股份。公司现有已发行股份约2.58亿股，若该议案获得通过，回购规模将可达约2581.77万股。
公告指出，上述回购授权将根据开曼群岛公司法及香港上市规则的相关规定开展，所需资金将从公司可依法用于回购的来源拨付，包括公司溢利或股本等。公司董事会强调，此举有助于在合适时灵活管理资本结构、提升股东回报，并维护股东整体利益。
董事会表示，若回购议案顺利通过，该授权将自股东周年大会结束之日起生效，直至公司下次股东周年大会、法律或公司章程所规定的有效期届满，或被董事会或股东撤销为止。根据公司提供的股价资料，过去十二个月公司在联交所的最高股价约为每股港币10.020元，最低股价约为每股港币2.520元。
思路迪医药股份本次股东周年大会定于2026年6月30日举行。公司同时提醒股东，根据公告安排，计划在大会前一段时间暂停办理股份过户登记手续，具体日程以公司进一步通知为准。
