新疆天业节水灌溉股份有限公司（天业节水，股票代码：00840，主要于香港联合交易所有限公司主板上市）宣布，董事会已建议取得一般性授权，可在股东周年大会决议生效后的12个月内，于不超过其于授权通过当日已发行H股股份总数10%的范围内回购股份。公司董事会拟回购的最高总数为2.024亿股H股。
天业节水指出，将依据公司章程、香港联合交易所有限公司证券上市规则及中国相关法律法规，在股东周年大会所批准的条件下实施回购计划，所需资金将来自公司内部合法可用的资金来源。公司认为，有必要在市场条件适宜的情况下灵活实施股份回购，以提升股东回报及优化资本结构。董事会强调，此举符合公司及股东的整体最佳利益。
公告显示，在截至2026年4月23日的十二个月内，公司H股最高及最低成交价分别约为每股0.255港元和0.118港元。若相关授权于6月11日召开的股东周年大会通过，天业节水拟进行的回购将在符合法定程序并获得必要主管机关批准后执行。
公司特别提示称，股东登记自2026年6月8日至2026年6月11日（含首尾两日）暂停办理，所有过户文件需最迟于6月5日16时30分前送达香港过户登记处。公司呼吁股东遵循会议安排并关注相关后续信息。
