Paradise Entertainment Limited will convene its Annual General Meeting (AGM) on 21 May 2026 at 4:00 p.m. at Unit C, 19/F, Entertainment Building, 30 Queen’s Road Central, Hong Kong. Key items on the agenda are as follows:
1. Financial Statements and Auditor’s Report • Shareholders will vote on adopting the audited consolidated financial statements, directors’ report and independent auditor’s report for the year ended 31 December 2025.
2. Board Composition and Remuneration • Independent non-executive directors Mr Li John Zongyang and Dr Liu Ka Ying Rebecca are standing for re-election. • The Board seeks authority to determine directors’ remuneration.
3. Auditor Re-appointment • Deloitte Touche Tohmatsu is nominated for re-appointment as independent auditor, with the Board authorised to set its fee.
4. Dividend Proposal • A final dividend of HK2.5 cents per ordinary share (par value HK$0.001) for FY 2025 is proposed. • Share register will close from 2 June to 4 June 2026. The record date for entitlement is 4 June 2026.
5. General Mandates • Issuance Mandate: Directors seek authority to issue, allot, grant or otherwise deal with additional shares and related securities up to 20% of the company’s issued share capital (excluding any treasury shares) during the mandate period. • Share Repurchase Mandate: Authority to repurchase up to 10% of issued shares (excluding any treasury shares). • Extension Mandate: The issuance limit may be increased by the number of shares repurchased under the above mandate, capped at an additional 10% of issued shares.
6. Key Dates • Register closure for AGM eligibility: 15 May – 21 May 2026 (both days inclusive). Record date: 21 May 2026. • Proxy forms must be lodged by 4:30 p.m. on 19 May 2026 (48 hours before AGM).
Paradise Entertainment’s board recommends shareholders vote in favour of all proposed resolutions, which will be decided by poll at the AGM.
