Bao Pharma-B Completes HK$1.99 Million Share Buyback, Outstanding Shares Fall to 152.29 Million

Shanghai Bao Pharmaceuticals Co., Ltd. (Bao Pharma-B) disclosed that it repurchased 119,200 H-shares on 1 September 2026 via on-exchange transactions, paying an aggregate HK$1.99 million. The shares were bought at prices ranging between HK$16.48 and HK$16.81, implying a volume-weighted average cost of HK$16.73 per share.

Following the transaction, the company’s issued share capital (excluding treasury shares) decreased by 0.08% to 152.29 million shares. Concurrently, treasury stock rose to 2.04 million shares, while the total number of issued shares remained unchanged at 154.33 million.

The repurchase forms part of the 10% buyback mandate approved on 26 May 2026, which authorises the company to acquire up to 15.43 million shares. Cumulative repurchases under this mandate now stand at 2.04 million shares, representing 1.32% of the share count recorded on the mandate date.

Under Hong Kong listing rules, Bao Pharma-B is restricted from issuing, selling or transferring treasury shares for 30 days following the latest repurchase, setting the moratorium’s expiry on 1 October 2026.

Executive Director Liu Yanjun confirmed that all repurchases were executed in accordance with Hong Kong Stock Exchange requirements and the company’s stated repurchase programme.
