China Everbright Bank (06818) announced that Mr. Liu Qiao will cease to serve as an independent non-executive director and member of the relevant board committee of China Merchants Bank Co., Ltd. effective December 30, 2025, upon the completion of his term. In accordance with Article 16 of the National Financial Regulatory Administration's "Measures for the Administration of Qualifications of Directors and Senior Management of Banking Financial Institutions," Mr. Liu Qiao's director qualification does not require re-application for approval. Consequently, Mr. Liu Qiao has been appointed as an independent non-executive director and a member of the relevant board committee of the Company, effective from the date of this announcement. Pursuant to relevant laws, regulations, and the provisions of the Articles of Association of China Everbright Bank Co., Ltd., Mr. Hong Yongmiao has ceased to serve as an independent non-executive director and member of the relevant board committee of the Company, effective from the date of Mr. Liu Qiao's appointment, following the expiration of his own term.
