BANK OF E ASIA (00023) announced that on October 10, 2025, the bank entered into a framework agreement with Sumitomo Mitsui Banking Corporation. Under the terms of this framework agreement, BANK OF E ASIA Group and Sumitomo Mitsui Group may enter into spot transactions and derivative contracts.

In the ordinary course of business, the Group provides products and services to customers for managing and hedging various types of market risks, including but not limited to foreign exchange and interest rate risks, through spot transactions and derivative contracts. The Group may also enter into spot transactions and derivative contracts with other financial institutions from time to time to manage its own market risks.

As a major shareholder of the bank, Sumitomo Mitsui Banking Corporation is considered a connected person under Chapter 14A of the Listing Rules. Therefore, to facilitate efficient and appropriate transactions between both parties in their ordinary course of business while complying with relevant provisions of the Listing Rules, the directors believe that entering into the framework agreement with Sumitomo Mitsui Banking Corporation is in the best interests of the bank.
