S. Dragon signs HK$2.10 million, three-year lease for new Tsim Sha Tsui head office

Scorching Dragon Holdings Limited (S. Dragon; HKEX: 08493) has secured new headquarters space in Hong Kong. On 9 July 2026, its indirect wholly-owned subsidiary Scorching Dragon Commercial Management Group Ltd. (SDCM) executed a tenancy agreement with Boham International Ltd. for Units 1112-1113, 11/F, New East Ocean Centre, 9 Science Museum Road, Tsim Sha Tsui.

Key terms • Lease term: 17 Aug 2026 – 16 Aug 2029 (three years). • Consideration: fixed rent of HK$67,000 per month, exclusive of management fee, air-conditioning charges and government rates. • Concessions: two rent-free periods—17 Aug 2026 to 16 Oct 2026 and 17 Aug 2027 to 16 Sep 2027. • Deposit: HK$274,440, equivalent to three months’ rent and associated charges. • Guarantor: Executive Director and Chairman Mr. Chan Yuen Lung Alfred. • Funding source: internal resources.

Accounting impact Under HKFRS 16, the lease will be recognized as a right-of-use asset valued at approximately HK$2.10 million, representing the present value of total lease payments.

Regulatory classification The transaction triggers a “discloseable transaction” under Rule 19.06 of the GEM Listing Rules, as at least one applicable percentage ratio exceeds 5 % but remains below 25 %. Accordingly, it requires public disclosure but no shareholder approval.

Strategic rationale Management stated that the new premises will serve as the Group’s office hub, supporting recent expansion—three new Cantonese restaurants opened since January 2026—and enhancing operational and administrative efficiency.

Trading status Trading in S. Dragon shares has been suspended since 20 October 2025 pending fulfilment of resumption guidance. Further announcements will be made in accordance with GEM Listing Rules.
