CARRIANNA (00126) has announced that on February 13, 2026, its directly wholly-owned subsidiary, Carrianna Property Development Limited, intends to sell 100% of the equity in Profit Share Investments Limited to Silver Chaser Holdings Limited for a consideration of HK$45 million.

As of the date of this announcement, the sole asset of the target company is an indirect attributable interest of approximately 4.62% in an invested group.

The announcement stated that the disposal provides the Group with an opportunity to realize its investment in the target company and reallocate financial resources for future development. Furthermore, the proceeds from the sale will be used to reduce the Group's debt. The disposal is in line with the Group's overall strategic planning. The Board of Directors believes that the disposal will optimize the Group's resource allocation and strengthen its cash flow.
