Zhou Liu Fu Jewellery Co., Ltd. (H-shares) bought back 604,200 shares on 17 June 2026 via the Hong Kong Stock Exchange, paying between HKD 16.17 and HKD 17.20 per share. The aggregate consideration was HKD 9.996 million, equal to a volume-weighted average price of HKD 16.54.
The repurchased shares—representing 0.228 % of the company’s issued shares excluding treasury stock—have been retained as treasury shares. As a result:
• Issued shares outstanding fell from 265.51 million to 264.90 million. • Treasury shares rose from 8.18 million to 8.79 million, equivalent to 3.21 % of the 273.69 million total issued shares. • Total issued share capital remained unchanged at 273.69 million shares.
The purchases were made under the general mandate granted on 22 May 2026, which authorises the company to repurchase up to 27.28 million shares. Cumulative buybacks under this mandate now total 7.85 million shares, or 2.88 % of the shares outstanding on the mandate date.
Under Hong Kong Listing Rule 10.06(3)(a), Zhou Liu Fu is subject to a moratorium on issuing new shares or disposing of treasury shares until 17 July 2026.
The company confirmed that the repurchases complied with all Main Board Listing Rules and that there have been no material changes to the explanatory statement filed on 24 April 2026.
