Zhongyu Energy Holdings Limited disclosed that on 4 May 2026 it bought back 1.00 million ordinary shares on the Hong Kong Stock Exchange at prices ranging from HKD 2.73 to HKD 2.78 per share, for a total consideration of approximately HKD 2.74 million.

Following the transaction: • Outstanding shares (excluding treasury shares) declined from 2.73 billion to 2.73 billion, representing a 0.04 per cent reduction. • Treasury shares increased from 16.50 million to 17.50 million. • Total issued shares remained unchanged at 2.75 billion, as the repurchased shares are being held as treasury stock and have not been cancelled.

The repurchase forms part of the mandate granted on 2 June 2025, which authorises the company to buy back up to 277.18 million shares. Cumulative repurchases under this mandate now stand at 17.50 million shares, equivalent to 0.63 per cent of the issued share base at the time the mandate was approved.

Under Hong Kong listing rules, Zhongyu Energy is restricted from issuing or selling treasury shares until 3 May 2026, being 30 days after the latest repurchase. The board confirmed that the transaction complied with all applicable regulatory requirements and that all funds due in respect of the repurchase have been fully settled.
