YTO International: Director Resignation Triggers Board Reshuffle and Gender Diversity Non-Compliance

YTO International Express and Supply Chain Technology Limited announced that Non-executive Director Ms. Wang Lixiu resigned from the Board, the Audit Committee and the Nomination Committee, effective 19 August 2026. Her departure is attributed to personal commitments; she confirmed no disagreement with the Board and no matters requiring shareholder attention.

Concurrent with the resignation, Non-executive Director Mr. Pan Shuimiao has been appointed to both the Audit and Nomination Committees, also effective 19 August 2026.

Following these changes, YTO International’s eight-member Board—comprising two executive, three non-executive and three independent non-executive directors—no longer includes a female member. This results in non-compliance with Hong Kong Listing Rule 13.92(2) and Corporate Governance Code Provision B.3.5, both of which require gender diversity on the Board and within the Nomination Committee.

The Company stated it will use “all reasonable endeavours” to appoint a qualified female director within three months to restore compliance. Further announcements will be issued as appropriate.
