IMAGI INT'L (00585) announced that on January 30, 2026 (after trading hours), IFGL, a direct non-wholly-owned subsidiary of the company, entered into a subscription agreement with the subscriber, ACESO LIFE SCI Group Limited (00474). Under the agreement, IFGL has conditionally agreed to allot and issue, and the subscriber has conditionally agreed to subscribe for, the subscription shares for a total subscription price of HK$177 million. This amount will be settled by the subscriber upon completion through the allotment and issue of 1.476 billion consideration shares to IFGL (or its nominee) at an issue price of HK$0.12 per share, which will be credited as fully paid. Upon completion, the company's interest in IFGL will be diluted from 98.69% to approximately 79.21%. IFGL will remain a subsidiary of the company, and its financial results will continue to be consolidated into the group's financial statements. The subscriber will hold an interest in approximately 19.74% of the shares in IFGL. As of the date of this announcement, the group does not hold any interest in the subscriber. The consideration shares represent approximately 20% of the subscriber's existing issued share capital as of the announcement date. Following the allotment and issue of the consideration shares at completion, the group will hold an interest of approximately 16.67% in the enlarged issued share capital of the subscriber (assuming no changes to the subscriber's issued share capital from the announcement date to the completion date). Consequently, upon completion, the group will become a major shareholder of the subscriber.
