Radiance Holdings (Group) Company Limited reported a stable capital structure for July 2026, with no changes in either authorised or issued share capital.

Authorised and Issued Share Capital • Authorised share capital remained at 10.00 billion ordinary shares with a par value of HKD 0.01 each, equivalent to HKD 100.00 million. • Issued share capital was unchanged at 4.05 billion ordinary shares, and the company continued to hold zero treasury shares.

Public Float Compliance • The company confirmed compliance with the Hong Kong Stock Exchange’s minimum public-float requirement. • The applicable threshold, set at 15.95% of issued shares, was met as at 31 July 2026.

Equity-Based Incentive Capacity • No share options were outstanding, granted, exercised or cancelled during the month. • The existing share option scheme, approved on 5 October 2020, still permits up to 400 million new shares to be issued upon future option exercises—equivalent to approximately 9.9% of current issued share capital.

Other Capital Instruments • The company reported no warrants, convertible securities, Hong Kong depositary receipts or other equity-linked instruments outstanding or issued during the period. • No share repurchases, cancellations or treasury share movements occurred.

Funding Activity • With no option exercises or other equity issuances, the company raised no funds in July 2026.

Governance Confirmation • The submission, signed by Company Secretary Chu Cheuk Ting, affirms that all regulatory and listing-rule requirements were observed throughout the month.
