China Greenland Broad Greenstate Group Company Limited (the “Company”) will hold an Extraordinary General Meeting on 7 November 2025 at 2:00 p.m. at Floor 8, Block D3, 5th Building, Hongqiao World Center, 1588 Lane, Zhuguang Road, Shanghai. Shareholders are set to vote on several proposals, including a share consolidation and changes to the Company’s name.

The share consolidation proposal involves consolidating every ten existing shares with a par value of HK$0.025 each into one consolidated share with a par value of HK$0.25 each. Following this, the authorized share capital of HK$200,000,000 would be represented by 800,000,000 consolidated shares of HK$0.25 each. Fractional shares resulting from the process will be aggregated and sold for the Company’s benefit where possible.

Additionally, subject to the approval of the Registrar of Companies in the Cayman Islands, it is proposed to change the Company’s Chinese name from “中國綠地博大綠澤集團有限公司” to “中國綠博生態科技集團有限公司” and its English name from “China Greenland Broad Greenstate Group Company Limited” to “China Green Broad Ecological Technology Company Limited.”

If both the share consolidation and name change become effective, amendments to the existing second amended and restated memorandum and articles of association will be considered. The proposed third amended and restated memorandum and articles of association would then take effect, incorporating all relevant changes. Shareholders registered by 3 November 2025 at 4:30 p.m. will be eligible to attend and vote at the Extraordinary General Meeting.
