JB Foods outlines cost and remuneration outlook ahead of Jul, 29 2026 AGM

JB Foods Limited has released written responses to questions submitted by shareholders in advance of its Annual General Meeting scheduled for Jul, 29 2026.

The cocoa processor said current geopolitical tension in the Middle East may lift freight and energy costs, but these items are expected to have a smaller impact on overall expenditure than movements in cocoa-bean prices, the company’s largest cost component. Management added that its diversified sourcing and logistics arrangements provide flexibility should shipping routes be disrupted.

On pricing, JB Foods noted that it applies a cost-plus model, passing cocoa-bean costs through to customers. While this approach cushions margin pressure, the group cautioned that prolonged high bean prices could eventually dampen global chocolate consumption and, in turn, demand for its products.

The firm reiterated that it conducts hedging strictly to cover physical purchase and sales commitments, with positions reviewed regularly under its established risk-management framework.

Addressing a query on executive remuneration, the board said higher performance-based bonuses for FY2026 reflected improved profitability under a previously approved profit-sharing plan. Although no Remuneration Committee (RC) meeting fell within the FY2026 reporting window, the RC met on Apr, 23 2026—after the financial year-end—to review the calculations and recommend the payouts to the board.

The company emphasised that its remuneration structure remains unchanged, linking variable pay to earnings while keeping fixed pay stable, and confirmed that all payments were reviewed and approved in line with governance procedures.
