Jumbo Flags Capital Limited (the “Offeror”) and GC Construction Holdings Limited (the “Company,” together with its subsidiaries, the “Group”) announced a delay in the despatch of the composite document related to a mandatory unconditional cash offer. According to the joint announcement dated 30 September 2025, the original deadline under Rule 8.2 of the Takeovers Code was on or before 21 October 2025. However, additional time is required to finalize the Group’s indebtedness statement, as well as to complete a letter of advice from the Independent Financial Adviser.

An application has been made to the Executive for an extension of the despatch deadline to a date on or before 14 November 2025. The Executive has indicated that it is minded to grant its consent for this extension. Further announcements will be made regarding the despatch of the composite document and the relevant form(s) of acceptance.
