BRETON to Hold 2025 AGM on 25 June 2026; Agenda Covers Profit Distribution, New Directors and Dual Mandates

Breton Technology Co., Ltd. (BRETON, stock code: 01333) has scheduled its 2025 Annual General Meeting for 25 June 2026 at 4:00 p.m. in Shanghai. Shareholders on record by 19 June 2026—after which the register closes from 22–25 June—will be eligible to attend and vote. All resolutions will be decided by poll.

Key ordinary resolutions: • Review of the Board’s 2025 work report and the audited financial statements for the year ended 31 December 2025. • Approval of the 2025 profit-distribution plan (details not disclosed in the notice). • Election of Mr. Chen Guomin as an executive director and Dr. Tim Sun as an independent non-executive director for the second board session. • Adjustment of the 2026 borrowing limit for Breton Technology and its subsidiaries. • Authorisation for an indirect subsidiary to secure medium-term loan facilities.

Special resolutions: • Granting a general mandate to the board to issue shares. • Granting a general mandate to the board to repurchase H shares.

Shareholders may appoint one or more proxies; completed proxy forms must reach Tricor Investor Services Limited or the company’s registered office by 4:00 p.m. on 24 June 2026. Travel and accommodation expenses for attending the AGM will be borne by shareholders.

The board currently comprises four executive directors, two non-executive directors and four independent non-executive directors. The notice was issued in Hong Kong on 4 June 2026 and signed by Chairman, General Manager and Executive Director Mr. Chen Fangming.
