Grown Up Group (1842 HK) Announces Joint Company Secretary Appointment and Granted Waiver for Listing Rules

Grown Up Group Investment Holdings Limited (stock code: 1842) has announced that its Board of Directors has appointed Mr. Fong Ho Tat as a joint company secretary, effective 6 February 2026. Mr. Fong, who is currently an executive director and the Group Finance Director, will serve alongside the existing company secretary, Mr. Ngai Tsz Hin Michael. Both will jointly perform company secretary duties.

Mr. Fong joined the Group in 2020, bringing over 18 years of experience in auditing and accounting. His career history includes senior finance positions in publicly listed companies and a finance-related academic background, including a bachelor’s degree in business administration and a master’s degree in Hong Kong. Mr. Ngai, a practising solicitor in Hong Kong, will continue to serve as a joint company secretary and provide ongoing assistance to help Mr. Fong fulfill the requirements of the position.

Because Mr. Fong does not currently meet all academic or professional qualifications under the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (Listing Rules), the Company was granted a three-year waiver from strict compliance with Rules 3.28 and 8.17. The waiver stipulates that Mr. Fong must be assisted by Mr. Ngai during this period and will require demonstration of Mr. Fong’s capability to discharge company secretary duties before its expiration. The waiver may be revoked if there are material breaches of the Listing Rules during the three-year period.
