Everbright Grand China Assets Sets New Deposit and Loan Caps; Seeks Shareholder Approval on 11 June 2026

Everbright Grand China Assets will ask independent shareholders to approve two new related-party financing frameworks with its controlling shareholder, China Everbright Group, at an extraordinary general meeting scheduled for 11 June 2026 in Hong Kong.

Deposit Service Framework • The proposed New Deposit Service Framework Agreement runs from the EGM approval date to 31 December 2028. • China Everbright will procure China Everbright Bank to provide deposit services to the Group. • Maximum daily deposit balance (including accrued interest) is capped at RMB 38.00 million for each of 2026, 2027 and 2028. • Historical utilisation was RMB 28.51 million in 2025, or 75.03 % of the previous RMB 38.00 million cap. • Interest rates must be no lower than those offered by at least two independent banks and comply with PBOC and other regulatory requirements.

Loan Service Framework • The New Loan Service Framework Agreement spans from the EGM approval date to 31 December 2030. • CE Bank may extend loans, financing or other lending facilities to the Group, with security over assets or rental income permitted. • Annual cap for the maximum daily loan balance is RMB 350.00 million for each year from 2026 through 2030. • The Group did not draw on any such loans during 2023–2025; the cap is sized to fund potential overseas property acquisitions costing up to about RMB 380 million. • Interest rates must not exceed those quoted by at least two independent banks and must follow PBOC and other regulatory guidelines.

Governance and Compliance • Both agreements are non-exclusive; the Group remains free to transact with other financial institutions. • Internal controls require market-rate benchmarking, daily monitoring of balances and annual review by independent non-executive directors and external auditors. • As the deposit arrangement exceeds 25 % but is below 100 % of relevant percentage ratios, it is classified as a major and continuing connected transaction under Chapters 14 and 14A of the Listing Rules. • China Everbright and its associates, holding 74.99 % of Everbright Grand China Assets’ shares, will abstain from voting.

Meeting Details Shareholders of record on 11 June 2026 may vote in person or by proxy. Proxy forms must reach Tricor Investor Services by 9 June 2026. Approval would enable the Group to maintain liquidity management flexibility and secure funding for potential expansion while adhering to connected-party transaction safeguards.
