Finsoft Financial Investment Holdings Limited (“Finsoft”) disclosed a new loan agreement under which its indirect wholly-owned subsidiary, Finsoft Finance Limited, will provide a two-year loan of HK$2,800,000 at an 8% annual interest rate to Fortune Grace Management Limited. InvesTech Holdings Limited (stock code: 1087) acts as the guarantor, offering a corporate guarantee in favor of Finsoft Finance Limited.

According to the announcement, the loan is effective from November 19, 2025, to November 18, 2027, with interest payable quarterly. The borrower may repay the principal and accrued interest before maturity by giving prior written notice. Proceeds from this new loan were used to fully settle the principal of a former HK$2,800,000 loan. Because one of the applicable percentage ratios exceeds 5% but remains below 25%, the arrangement constitutes a discloseable transaction for Finsoft under Chapter 19 of the GEM Listing Rules, requiring notification and announcement as stipulated.
