Syngenta Group's Hong Kong IPO Faces Investor Complaint Over Internal Competition and Governance Allegations, Exchange Confirms Receipt

An investor has sent a complaint email to Hong Kong Exchanges and Clearing Limited (HKEX) targeting the confidential H-share IPO filing of Syngenta Group Co., Ltd. (Syngenta Group), raising multiple allegations of regulatory violations. The exchange has confirmed receipt through its automated reply system, noting that due to the high volume of inquiries, additional time is needed to provide a substantive response.

The complaint highlights risks in Syngenta Group's internal governance, horizontal competition, and information disclosure practices. Specifically, it alleges that several pesticide companies within the group have overlapping business operations, and that significant horizontal competition has not been genuinely resolved. Yet the company's public statements and filing documents allegedly frame the issue as having been properly addressed, which the complainant characterizes as misleading publicity and disclosure.

Additionally, the complainant accuses Syngenta Group of failing to honor public commitment obligations to its listed subsidiaries, citing a lack of market integrity, and references the group's two previous failed attempts to list on China's A-share market. The complaint cites public data indicating that Syngenta Group controls multiple listed entities both domestically and internationally, including Yangnong Chemical and Adama Agricultural Solutions in China, as well as Syngenta Crop Protection in Switzerland.

The complaint notes that roughly 70% of revenue from Syngenta Crop Protection in Switzerland comes from off-patent products, with the division generating $13.7 billion in 2025, implying off-patent product revenue of approximately $9.6 billion. The complainant argues that this segment substantially overlaps with Adama's business in terms of product homogeneity and commodity characteristics, creating direct or potential competitive dynamics. Meanwhile, Yangnong Chemical and Adama's pesticide operations are also said to fully overlap, with Yangnong Chemical reporting 11.8 billion yuan in 2025 operating revenue.

Referencing the China Securities Regulatory Commission's 2023 "Securities and Futures Legal Application Opinion No. 17" on horizontal competition criteria, the complainant asserts that these circumstances constitute horizontal competition with material adverse impact. The complaint further states that domestic investors are currently pursuing remedies through civil litigation, administrative proceedings, and reports to the CSRC, which could significantly affect Syngenta Group's prospective Hong Kong listing. The complainant urges HKEX to conduct a special review during the confidential IPO phase, strictly applying main board listing rules to safeguard market integrity and investor interests.

As of the time of writing, HKEX has only acknowledged receipt of the email without any substantive comment on the allegations. Syngenta Group has also declined to publicly address the complaint.
