Metro Holdings (M01) secures shareholder backing on all matters at 53rd AGM

Metro Holdings Ltd (M01) reported that shareholders approved every resolution tabled at its Fifty-Third Annual General Meeting held on Jul, 24 2026 in Singapore.

All ordinary business items were carried, including the adoption of the Directors’ Statement, Auditor’s Report and FY 2026 audited financial statements, which received 99.93% of votes in favour (483.84 million shares).

Investors endorsed a first and final tax-exempt dividend of 2.0 Singapore cents per share, to be paid on Aug, 18 2026 to shareholders on record as at Aug, 6 2026. The dividend resolution passed with 99.97% support (485.18 million shares).

Directors re-elected were Gerald Ong Chong Keng, Ong Sek Hian, Christopher Tang Kok Kai and Seow Poon Garn. Each secured more than 99% shareholder approval.

Shareholders also approved S$1.1208 million in directors’ fees for FY 2026 (98.84% support) and reaffirmed the re-appointment of Ernst & Young LLP as external auditor (99.96% support).

Under special business, the meeting granted a general mandate allowing the board to issue new shares up to 50% of issued capital, with a 20% sub-limit for non pro-rata issues. The resolution obtained 97.93% approval.

In addition, a renewal of the company’s share purchase mandate—authorising buy-backs of up to 10% of issued shares—was passed with 98.94% support.

The AGM, chaired by Mr Tan Soo Khoon, concluded at 4:40 p.m. after a question-and-answer session covering the group’s transition from traditional department stores to smaller format retail concepts, property market conditions in China, and the company’s diversification strategy.
