As Samsung Electronics' share price continues to languish, a growing number of minority shareholders are banding together to pool their equity and push for an extraordinary general meeting. Reports indicate that these investors plan to place several key items on the meeting's agenda. They are not only demanding a large-scale share buyback but also seeking to revise the employee performance bonus system, which has been widely criticized by shareholders for being tied to operating profit.

Rather than limiting themselves to shareholder letters calling for better returns, these small investors are now attempting to directly vote on stock buybacks and share cancellations through a convened general meeting. Market sources reported on the 4th that the minority shareholder rights platform ACT has already begun preparations. It is launching an electronic signature drive necessary to convene an extraordinary general meeting for Samsung Electronics, with the formal signature process slated to start on that day.

The platform's proposed plan involves seeking proxies from Korea's National Pension Service and domestic and international asset managers to secure a request for the right to call an extraordinary general meeting. Once the threshold of 3% of the company's total issued shares, calculated on a non-voting stock basis, is met, the group will formally propose improving shareholder return policies. The submitted proposals are said to include two core items: revising the employee performance bonus system and approving a 45.5 trillion won share repurchase of common stock. Additionally, a supplementary clause will be included as a non-binding shareholder proposal, requiring the company to explain its decision-making rationale when formulating shareholder return plans and to subsequently report on the execution status.
