A-Living Seeks Shareholder Nod to Overhaul Articles, Scrap Supervisory Committee and Enable Hybrid AGMs

A-Living Smart City Services (A-Living) will ask shareholders at the forthcoming annual general meeting (AGM) to approve a sweeping revision of its Articles of Association, according to an exchange filing dated 31 March 2026.

Key changes proposed:

• Governance structure – The existing supervisory committee would be abolished on adoption of the revised Articles. All statutory oversight duties would be transferred to the Board’s audit committee, and current supervisors would retire once the amendments take effect.

• Board composition – An employee-elected director slot will be added, expanding stakeholder representation.

• Meeting format – The term “shareholders’ general meeting” will be replaced by “shareholders’ meeting,” and the revised Articles will expressly permit hybrid meetings and electronic voting, aligning with the Hong Kong Stock Exchange’s February 2025 rule updates.

• Regulatory alignment – In total, 117 provisions will be amended and 25 articles deleted to reflect: – China’s revised Company Law effective 1 July 2024; – The CSRC’s 2025 Guidelines for Articles of Association of Listed Companies; and – The repeal of the “Essential Provisions for the Articles of Association of Overseas Listed Companies”.

A circular detailing the amendments and the AGM notice will be dispatched to shareholders in due course. The English version of the Articles is provided for reference; the Chinese version will prevail in case of discrepancies.

The Board currently comprises eight directors, including five executive and three independent non-executive members.
