REFIRE Completes H-Share Full Circulation, Issues 10.00 Million Warrants in June Update

Shanghai REFIRE Group Limited released its monthly securities movement report for June 2026, highlighting the completion of its H-share full-circulation program and the launch of a new warrant issue.

Share Capital Realignment • Registered share capital remained unchanged at RMB 93.23 million. • On 15 June 2026, 26.61 million domestic shares were converted into H shares, lifting the H-share register to 88.74 million while reducing domestic shares to 4.47 million. • Treasury stock was unchanged at 18,000 H shares.

Public Float Compliance • Post-conversion, H shares represent 94.97 million issued shares including treasury stock, of which 88.74 million are outstanding. • REFIRE confirmed compliance with the Hong Kong Stock Exchange’s minimum 25% public-float requirement.

Equity Incentives • Pre-IPO share option scheme (adopted 21 Jan 2024): 1.90 million domestic-share options remained outstanding; no exercises occurred during the month.

Warrant Issuance • On 15 June 2026, the company issued 10.00 million unlisted warrants to Macquarie Bank Limited. – Each warrant entitles the holder to subscribe for one H share at HKD 0.2657. – Warrants expire on 15 December 2027. – No warrant exercises were recorded in June; potential dilution equals 10.00 million H shares (11.3% of current outstanding H shares).

Capital Outlook The June transactions consolidate REFIRE’s share structure under a predominantly H-share framework and introduce a new potential source of equity via warrants, while leaving total registered capital and treasury share levels unchanged.
