Renze Harvest International Limited has appointed Mr. Cao Yongsheng, 59, as Executive Director, Chairman of the Board and Chief Executive Officer, effective 3 August 2026. He will simultaneously chair both the Strategic Committee and the Investment Committee.

Mr. Cao holds a master’s degree in civil engineering from Lanzhou Jiaotong University and is a certified real-estate appraiser and registered cost engineer in the PRC. His career spans senior roles at LVGEM (China) Real Estate Investment, CITIC Hua’nan (Group) Zhuhai, CITIC Real Estate and CITIC Zhengye Investment Development, providing extensive experience in construction, real-estate development and infrastructure investment.

Under a three-year service contract, Mr. Cao will receive annual remuneration of HK$0.12 million and is subject to retirement by rotation and re-election at the next general meeting. He holds no shares in the company, has no relationships with existing directors or major shareholders, and has not served as a director of any listed company in the past three years.

Concurrent with the appointment, Renze Harvest has reconstituted its board committees: • Nomination Committee – Ms. Zhao Yizi elevated to Chairman; Mr. Li Minbin and Mr. Chan Manwell join as members; Mr. Zhang Chi steps down as acting chairman. • Remuneration Committee – Ms. Liu Jiaxin and Ms. Zhao Yizi become members; Mr. Zhang Chi departs. • Strategic Committee – Mr. Cao assumes chairmanship; Mr. Zhang Chi continues as member; Ms. Liu Jiaxin joins; Mr. Chan Manwell exits. • Investment Committee – Mr. Cao becomes chairman; Mr. Zhang Chi shifts from acting chairman to member.

Following these changes, the board comprises three Executive Directors (Mr. Cao Yongsheng, Mr. Li Minbin, Ms. Liu Jiaxin), one Non-executive Director (Mr. Zhang Chi) and three Independent Non-executive Directors (Ms. Zhao Yizi, Ms. Zhang Juan, Mr. Chan Manwell).
