AI Advertising Platform Liftoff Mobile Targets Nasdaq with $3.99 Billion IPO

An AI software firm specializing in mobile app advertising, Liftoff Mobile, has detailed the terms for its U.S. initial public offering, aiming to raise $399 million. The company plans to list on the Nasdaq exchange under the ticker symbol "LFTO".

Headquartered in Redwood City, California, the company intends to offer 19 million shares at a price between $20 and $22 per share. At the midpoint of this proposed range, Liftoff Mobile would command a fully diluted market valuation exceeding $3.9 billion.

**Liftoff Mobile (LFTO.US)**

Formed in 2021 through the merger of Liftoff and Vungle, the company operates an AI-powered platform that assists mobile app advertisers and publishers with user acquisition and ad monetization across sectors like social media, finance, entertainment, and gaming.

As of September 30, 2025, its software development kit is integrated into over 140,000 major applications, connecting approximately 1.4 billion daily active users and serving more than 1,000 advertisers globally.

The core business model revolves around AI-driven advertising transactions and performance ad technology. It helps advertisers use AI models to find high-converting users and improve campaign returns, while simultaneously aiding app publishers in selling and monetizing their ad inventory more efficiently.

For the 12-month period ending March 31, 2026, the company reported revenue of approximately $741 million. Its commercial value is derived from a combination of AI model token pricing, mobile traffic scale, and a closed-loop system of advertising conversion data.

Originally, the company planned an IPO in January with a target to raise $711 million at a $5.5 billion valuation, but the offering was postponed and subsequently withdrawn in February following a broad sell-off in software stocks. The company has now refiled its prospectus with new terms in late April.

The IPO boasts a large syndicate of underwriters, including Goldman Sachs, Jefferies, Morgan Stanley, Barclays, RBC Capital Markets, UBS Investment Bank, Wells Fargo Securities, William Blair, Cantor Fitzgerald, Deutsche Bank, PJT Partners, WR Securities, Nomura, BTIG, Needham & Co., and Raymond James. Pricing for the offering is expected during the week commencing June 1, 2026.
