CIFI Holdings Revises Offshore Debt Restructuring Strategy to Build Sustainable Capital Framework

On June 29, CIFI HOLD GP (00884) released an inside information announcement, initiating further refinements to its offshore debt restructuring plan with the goal of establishing a realistic and sustainable capital structure. The company is also intensifying its focus on its asset-light business segments to enhance financial flexibility and support a more sustainable operational model.

The company's offshore restructuring plan officially took effect on December 29, 2025. The plan includes a total of $40 million in upfront cash payments, scheduled as follows: approximately $10 million payable on the restructuring effective date (RED), another $10 million due six months after the RED, and the final $20 million to be paid in stages one year after the RED.

According to the announcement, the company had been actively advancing the sale of its London investment property in line with its commitments to creditors, aiming to raise funds for the second $10 million upfront payment. The transaction saw initial progress in the first quarter of 2026. However, subsequent progress was severely hindered by external factors beyond the company's control, including a deteriorating market environment and escalating geopolitical tensions. These factors significantly dampened market sentiment, weakened buyer interest, and prolonged the overall transaction timeline, ultimately preventing the company from making the payment by the due date.

Objectively, CIFI's timing for disposing of its London assets coincided with severe turbulence in international markets. Macroeconomic indicators in the UK continued to worsen, with stagnant economic growth and an unemployment rate climbing to 5.0%, nearing a historical peak. Ongoing conflicts in the Middle East contributed to a resurgence in inflation expectations, pushing the UK's benchmark interest rate to a high of 3.75%. In the first quarter of 2026, UK commercial real estate transaction volumes plummeted by over 50% quarter-on-quarter, pushing market confidence to a freezing point. Economic deterioration, high financing costs, and the sharp decline in property transactions all became obstacles to CIFI's disposal of its London assets.

In its announcement, CIFI stated it is implementing several urgent measures to maintain normal operations and preserve asset value. On one front, it continues to advance the sale of its London assets to achieve monetization as soon as possible. Concurrently, it is proactively engaging with offshore creditors to discuss potential optimizations and adjustments to the restructuring terms. The company has appointed Houlihan Lokey (China) Limited as its financial advisor and Linklaters as its legal advisor to assist in formulating a comprehensive and optimized restructuring plan.

Simultaneously, CIFI is evaluating other business strategies, reinforcing its focus on asset-light business lines to improve financial agility and underpin a more sustainable business model. The company stated it will continue to assess viable options and take appropriate actions based on actual circumstances to support long-term sustainable development and preserve value for stakeholders.
