Green Energy Group Limited disclosed several board-level changes effective 26 March 2026:

• Executive Director resignation Mr. Luo Xian Ping resigned as Executive Director to focus on other business commitments. He confirmed no disagreements with the board and no outstanding claims against the company.

• New Executive Director and Co-Chairman Mr. Shao Mingbiao, aged 51, was appointed Executive Director, Co-Chairman and member of the Remuneration Committee. – Experience: over 13 years in finance and construction material supply; current roles include director & general manager of Shenzhen Dexiang Photoelectric and chairman of Shenzhen Rongbohui Asset Management. – Service terms: two-year contract (26 Mar 2026 – 25 Mar 2028) with either-party termination on two months’ notice. Remuneration is HK$25,000 per month plus a discretionary management bonus. – Compliance: no shareholding in the company and no relationships with directors, senior management or major shareholders.

• Redesignation of current Chairman Mr. Lo Kam Wing JP, previously sole Chairman, is now Co-Chairman alongside Mr. Shao. Mr. Lo remains an Executive Director and chairman of the Nomination Committee; his service terms and remuneration are unchanged.

Board composition after the changes The board now comprises six directors: three executive directors (Mr. Shao Mingbiao, Mr. Lo Kam Wing JP, Mr. Ho Wai Hung) and three independent non-executive directors (Mr. Tam Chun Wa, Mr. Man Kwok Leung, Ms. Jiang Zhihua).

The company expressed appreciation for Mr. Luo’s service and welcomed Mr. Shao to the board.
