CDB Leasing to Acquire and Lease Back Two Boeing 787-9s from Lufthansa Asset Management Subsidiary

China Development Bank Financial Leasing Co., Ltd. (CDB Leasing) disclosed that a wholly-owned subsidiary of CDB Aviation Lease Finance DAC (CDBALF) signed purchase-and-leaseback agreements on 1 July 2026 with Lufthansa Asset Management Leasing GmbH (LHAML) for two Boeing 787-9 aircraft. Upon delivery, the aircraft will be immediately leased to LHAML under operating leases.

The transaction’s highest percentage ratio under Hong Kong Listing Rule Chapter 14 exceeds 5 % but remains below 25 %, classifying the deal as a discloseable transaction. Because it meets the requirements for a Qualified Aircraft Leasing Activity, the deal is exempt from additional announcement, circular or shareholder-approval obligations under Rule 14.33C.

Delivery of both aircraft is scheduled on or before 15 July 2026. The board confirmed that CDB Leasing satisfies the Qualified Aircraft Lessor criteria in Rule 14.04(10E), the agreement was executed in the ordinary course of business on normal commercial terms, and the terms are considered fair and reasonable for shareholders as a whole.
