Swire Pacific Adjusts Exchange Price on HK$4.70 Billion Zero-Coupon Bonds After Cathay Pacific Dividend

Swire Pacific Limited announced an automatic adjustment to the exchange price of its HK$4.70 billion zero-coupon exchangeable bonds due 2027, triggered by Cathay Pacific Airways’ declaration of a HK$0.26 interim dividend for the financial year ending 31 December 2026.

Effective 5 September 2026—the trading day immediately after the 4 September record date for Cathay Pacific’s dividend—the exchange price will be reduced from HK$13.18 to HK$12.93 per Cathay Pacific share.

With the principal amount of bonds outstanding unchanged at HK$4.70 billion, the lower exchange price increases the maximum number of Cathay Pacific shares deliverable upon full exchange to 363.50 million, up from 356.60 million previously. The revised share count represents approximately 6.0 % of Cathay Pacific’s current issued share capital.

Under the bond terms, the number of Cathay Pacific shares receivable on any exchange is calculated by dividing the principal amount surrendered by the prevailing exchange price.
