Beijing Digital Telecom opts for no 2025 dividend, proposes RMB300 million financing guarantee and 20% share issuance mandate

Beijing Digital Telecom Co., Ltd. has issued its 2025 annual report and convened an Annual General Meeting (AGM) for 30 June 2026 in Beijing. Key resolutions to be tabled include the approval of FY2025 results, a nil dividend proposal, a new financing guarantee framework and a refreshed share issuance mandate.

The board recommends no profit distribution or capital-reserve capitalization for FY2025, citing the need to preserve liquidity and bolster risk resilience.

To support working-capital and funding flexibility, directors seek shareholder approval for a revolving guarantee facility of up to RMB300.00 million for the company and its wholly-owned or controlled subsidiaries. The authorisation would run from the AGM’s approval date to the 2026 AGM, with detailed credit terms to be negotiated case-by-case with financial institutions.

Shareholders will also vote on granting a general mandate allowing the board to issue, allot and deal with new shares representing up to 20% of the current issued share capital. Based on the existing 886.46 million shares outstanding, the mandate would permit the issuance of up to 177.29 million additional shares. The board stated it has no immediate plan to exercise the mandate.

The company confirmed that all AGM resolutions will be decided by poll in accordance with Hong Kong Listing Rules. The register of H-shareholders will be closed from 25 June to 30 June 2026, and only shareholders on record as of 30 June 2026 are entitled to vote. Proxies must be lodged no later than 10:00 a.m. on 29 June 2026.
