HUSCOKE HLDGS Receives Statutory Demand for Debt Repayment

HUSCOKE HLDGS (00704) has announced that on April 24, 2026, the company received a statutory demand for debt repayment issued by the legal representatives of Amber Financial Services Group Limited (Amber). The demand requires the company to pay approximately over HKD 700,000 within 21 days from the date the statutory demand was served. This amount includes an outstanding principal of about HKD 400,000, related interest exceeding HKD 300,000, fixed litigation costs, and the final judgment from the District Court.

The aforementioned payment is related to a matter reported to the police, with specific details as follows: The claimed amount is disputed and originated from fees for financial printing and related services provided by Amber to the company during the period from 2022 to 2023, along with associated overdue interest. Between January and February 2024, a director and the company secretary of HUSCOKE HLDGS repeatedly received aggressive and harassing collection attempts from an individual claiming to be the financial director of Amber. The collection methods included sending harassing mail to the director, persistently making threatening calls to the company secretary, sending intimidating emails, and gathering personal information of the director and company secretary for intimidation purposes. The director and company secretary filed police reports on four separate occasions between January and February 2024.

The company believes that the aforementioned actions, involving intimidation and the improper collection of personal information from its directors and employees, potentially constitute criminal offenses and have exceeded the scope of normal inter-company fee dispute negotiations. Therefore, HUSCOKE HLDGS is of the view that the suspected criminal aspects of the reported matter should be resolved first. Payment negotiations based on the correct amount should only commence after the police have reached a clear conclusion.

Simultaneously, the company's management intends to challenge the validity of the statutory demand within the 21-day period following its receipt. It will also engage in communication and negotiation with Amber to resolve the dispute. The Board of Directors believes that the absolute amount of the claim will not have any material adverse effect on the company's daily operations and business. The Board also questions the validity of the statutory demand itself. Consequently, the Board considers that this matter does not constitute inside information requiring disclosure under Rule 13.09 of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the "Listing Rules") or under the insider information provisions of Part XIVA of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong).

The Listing Division of the Stock Exchange contacted the company, stating it had received a copy of the statutory demand and requested the company to issue this voluntary announcement. HUSCOKE HLDGS will issue further announcements regarding the statutory demand as appropriate or in accordance with the Listing Rules.
