GCL Technology Holdings Limited (Stock code: 3800) previously announced on 28 January 2026 its proposed issue of convertible bonds under a general mandate. According to that announcement, the Subscription Agreement required closing to occur on or before 27 February 2026, subject to the fulfillment or waiver of various conditions precedent.

Additional time is now required to meet the relevant conditions. Consequently, the Subscriber and GCL Technology Holdings Limited have agreed to extend the Long Stop Date for finalizing the Subscription Agreement to 20 March 2026.
