KPM Holding Limited (KPM Holding) has named Mr. Lam Chee Sum Eddie, aged 51, as an Independent Non-Executive Director (INED) with effect from 25 September 2026. Concurrently, he becomes Chairperson of the Nomination Committee and joins both the Remuneration and Audit Committees.

Mr. Lam earned a Bachelor of Arts in Business Economics from the University of California, Los Angeles. He is a member of CPA Australia and holds the Chartered Financial Analyst designation, bringing more than two decades of accounting and finance experience. His recent board experience includes serving as an INED of SDM Education Group Holdings Limited (GEM: 8363) from January to November 2025.

Under the two-year appointment, Mr. Lam will receive a monthly director’s fee of HK$10,000. The remuneration was set by the Board upon the Remuneration Committee’s recommendation, taking into account his experience, responsibilities and prevailing market conditions. Mr. Lam will be subject to retirement by rotation and re-election under the Company’s Articles of Association.

Mr. Lam has confirmed his independence per Rules 5.09(1)–(8) of the GEM Listing Rules and has no interests in the Company’s securities, no connections with core connected persons, and no relationships with substantial shareholders, directors or senior management.

With this appointment, KPM Holding now meets key GEM corporate governance requirements: 1) at least three INEDs on the Board (Rule 5.05(1)); 2) a minimum of three Audit Committee members (Rule 5.28); and 3) an INED chairing the Nomination Committee (Rule 5.36A).

The Board, currently comprising two Executive Directors and three INEDs, welcomed Mr. Lam’s addition and affirmed that no other matters require disclosure under Rules 17.50(2)(h)–(v) of the GEM Listing Rules.
