TWINTEK: Controlling Shareholder to Place 13.91% Stake at HK$0.24375 per Share; Trading Still Halted

Bulletin Express
04/30

Twintek Investment Holdings Limited (TWINTEK) disclosed that controlling shareholder Mars Nest Limited has arranged a secondary placing of 111.32 million existing shares—equivalent to 13.91 % of the company’s issued share capital—to at least six independent institutional, professional and/or individual investors. The placing price is set at HK$0.24375 per share.

According to the board, none of the identified placees will become a substantial shareholder, ensuring the company’s shareholding structure remains diversified. The transaction is intended to help restore the minimum public-float requirement previously cited by the Hong Kong Stock Exchange.

Trading in TWINTEK shares has been suspended since 17 December 2025 and will remain halted pending further notice. The company plans to issue an additional announcement once the placing is completed and will continue to update the market on any material developments in line with listing rules.

Chairman and Executive Director Liu Chuang signed off on the announcement dated 30 April 2026.
