China Merchants Bank Co., Ltd. (CM BANK, 03968) has announced that its board of directors, during the 16th meeting of the 13th board held on May 28, 2026, passed several resolutions concerning director nominations.

The board approved the proposal to nominate Mr. Li Yungui and Mr. Huo Da as candidates for non-executive directors of the company's 13th board. These nominations will be submitted to the shareholders' meeting for review. Following approval by the shareholders, the director qualifications for Mr. Li and Mr. Huo will require review and approval by the National Financial Regulatory Administration. Their terms will commence from the date the company receives the approval notice from the regulatory authority and will last until the conclusion of the 13th board's term.

During the same meeting, the board also approved the proposal to nominate Mr. Wang Xiaoqing as a candidate for executive director of the 13th board. This nomination will also be submitted to the shareholders' meeting for review. Upon shareholder approval, Mr. Wang's director qualification will be subject to review by the National Financial Regulatory Administration. His term will begin from the date the company receives the regulatory approval and will continue until the end of the 13th board's term.

Furthermore, the board passed the proposal to nominate Mr. Zhang Yong as a candidate for independent director of the 13th board. This nomination will be presented to the shareholders' meeting for consideration. After approval by the shareholders, Mr. Zhang's qualification as an independent director will need to be reviewed by the National Financial Regulatory Administration. His term will start from the date the company receives the regulatory approval and will last until the 13th board's term expires.
