Hong Kong, 13 July 2026 – CaoCao INC. filed a Next Day Disclosure Return with the Hong Kong Stock Exchange, detailing simultaneous share issuance under its Pre-IPO Share Incentive Plan and an on-market share buyback.

New shares from option exercises • Between 2 July and 13 July 2026, employees who are not directors exercised options granted in November 2022, leading to the issue of 348,738 ordinary shares at RMB 1.692 each. • The newly issued shares represent approximately 0.06 % of CaoCao’s 582.51 million issued shares (excluding treasury shares) prior to the transactions.

On-market share repurchase • On 13 July 2026, the company repurchased 241,900 shares on the Exchange at prices ranging from HKD 16.16 to HKD 16.77, for a total consideration of HKD 3.97 million. • The volume-weighted average price paid was HKD 16.42 per share. • The repurchased shares equal 0.04 % of the pre-transaction issued share base and are being held as treasury shares. • The buyback was executed under the general mandate approved on 8 June 2026, which authorises repurchases of up to 58.30 million shares. Including this trade, 2.31 million shares (0.40 % of shares outstanding at mandate date) have been repurchased under the mandate.

Revised share capital structure • Issued shares (excluding treasury): 582.61 million, up by 106,838 shares after netting new issues against repurchases. • Treasury shares: 2.97 million. • Total issued shares (including treasury): 585.59 million as of 13 July 2026.

Post-repurchase restrictions In accordance with Hong Kong listing rules, CaoCao INC. is subject to a moratorium on new share issues or treasury share transfers until 12 August 2026.
