China Risun Group (01907) announced that it has entered into a termination agreement with Beijing Sinohytec regarding matters related to the potential disposal and potential capital increase under the framework agreement previously established between the two parties. Due to the inability of both transaction parties to reach consensus on the final plan for the potential disposal and potential capital increase, and to effectively protect the interests of the company and its investors, China Risun Group and Beijing Sinohytec have decided not to proceed with the potential disposal and potential capital increase. On September 5, 2025, China Risun Group and Beijing Sinohytec entered into a termination agreement, whereby both parties mutually agreed to terminate the framework agreement and waive and release their respective obligations under the framework agreement, effective from the date of the termination agreement. The Board of Directors believes that the termination of the framework agreement will not have any material adverse impact on the Group's business operations and financial condition.
