According to the released document, the newly established Nomination Committee is primarily entrusted with determining selection procedures and standards for directors and senior management, conducting preliminary reviews of candidate qualifications, and making recommendations to the Board.

The document emphasizes that the Committee comprises at least three directors, and the majority must be independent non-executive directors. The Committee chairman, who is responsible for leading its work, must be either an independent non-executive director or the Board chairman. In cases where the chairman cannot perform duties, another independent non-executive director will be appointed to assume those responsibilities.

The Terms of Reference take effect upon approval by the Board, serving as the foundation for enhancing corporate governance and ensuring a consistent approach to director and senior management appointments.
