TOM GROUP (02383) announced that on November 27, 2025, the company issued, and Hutchison Whampoa Europe Investments S.à r.l (the subscriber) subscribed to, subordinated perpetual securities with a total principal amount of HK$4.5 billion. The subscriber is an indirect wholly-owned subsidiary of CK Hutchison Holdings Limited, one of the major shareholders of TOM GROUP.

The proceeds from the issuance of perpetual securities will primarily be used to repay significant liabilities of the company and its subsidiaries, including the group's long-term non-current bank loans and accrued interest. Prior to this issuance, the total amount of these liabilities was approximately HK$4.08 billion, along with related expenses.
