Baidu Buys Back 2.20 Million Class A Shares Over Four Days; HK$49.99 Million Spent on 10 September

Baidu, Inc. disclosed that it repurchased a total of 2,197,550 Class A ordinary shares on the Hong Kong Stock Exchange between 7 and 10 September 2026. The four-day programme represents 0.10% of the company’s 2,209,541,178 issued shares outstanding prior to the transactions.

On 10 September alone, Baidu bought back 557,200 shares on-market at prices ranging between HK$89.10 and HK$90.25, for a consideration of HK$49.99 million. The volume-weighted average price for that day was HK$89.73 per share.

The earlier buybacks were executed as follows: • 7 September: 545,000 shares at an average HK$91.68 • 8 September: 554,150 shares at an average HK$90.23 • 9 September: 541,200 shares at an average HK$92.38

Based on the disclosed share counts and average prices, the four-day purchases total approximately HK$200.00 million.

All repurchased shares are intended for cancellation and have not yet been removed from the share count; therefore, Baidu’s issued share capital remains unchanged at 2,209,541,178 shares as of 10 September 2026.

The transactions were executed under the share-repurchase mandate approved by shareholders on 26 August 2026, which authorises the company to buy back up to 273,356,149 shares. After the latest transactions, 2,197,550 shares, or 0.08% of the mandate limit, have been utilised.

In line with Hong Kong listing rules, Baidu is subject to a moratorium on issuing new shares until 10 October 2026.
