CREALIGHTS Technology Co., Ltd. (Crealights) has released a board announcement detailing proposed amendments to its Articles of Association following completion of its global H-share offering on the Hong Kong Stock Exchange.

The company’s total issued share capital expanded from 76.11 million shares to 91.56 million shares after issuing 13.43 million H shares on 29 June 2026 and an additional 2.01 million H shares upon full exercise of the over-allotment option on 13 July 2026. Correspondingly, registered capital will be updated from RMB76.11 million to RMB91.56 million, with all 91.56 million shares now classified as H shares.

Key amendments include: • Article 3: insertion of the exact number of H shares issued and their respective listing dates. • Article 6: revision of registered capital to RMB91.56 million. • Article 19: clarification that, after full exercise of the over-allotment option, all ordinary shares (91.56 million) are H shares, representing 100% of total share capital. • Article 211: confirmation that the revised Articles will take effect upon H-share listing and shareholder approval.

No other provisions of the Articles of Association will change. The proposed amendments will become effective after approval at an upcoming extraordinary general meeting (EGM); the existing Articles remain valid until that vote. As no shareholder holds a material interest in these changes, no abstention requirements apply.

Crealights’ Hong Kong and PRC legal advisers have confirmed that the amendments comply with both local regulations and PRC law. The company will distribute an EGM circular, notice and proxy form in accordance with Hong Kong Listing Rules, and will announce the EGM results and the effective date of the amended Articles in due course.
