CONANT OPTICAL (02276) announced that on January 19, 2026 (after trading hours), Asahi Lenses (a directly wholly-owned subsidiary of the Company) and Goertek Optics entered into a joint venture agreement. The agreement stipulates the establishment of a joint enterprise to engage in the research and development, production, and sales of specialized custom lenses for smart glasses, optical waveguide eyepieces (including myopia-correcting and non-correcting waveguide components), and corresponding optoelectronic components for electrochromic and eye-tracking function eyepieces, all for application in the AI/AR/VR/MR smart glasses sector. The initial registered capital of the joint venture is set at USD 1 million (approximately HKD 7.8 million). Asahi Lenses and Goertek Optics have agreed to subscribe USD 300,000 (approximately HKD 2.34 million) and USD 700,000 (approximately HKD 5.46 million) respectively, representing 30.0% and 70.0% of the joint venture's registered capital. Following the initial capital contribution and before June 30, 2026, the joint venture's capital will be additionally increased by USD 2 million (approximately HKD 15.6 million), with Goertek Optics contributing USD 1.4 million and Asahi Lenses contributing USD 600,000. Upon completion of the aforementioned additional capital injection, Asahi Lenses and Goertek Optics will continue to hold 30.0% and 70.0%, respectively, of the joint venture's registered capital.
