Xinhua News Media Holdings Limited (abbreviated below as XH News Media) disclosed that on 14 August 2026 it received a formal requisition from shareholder Mr. Chen Xiangren, who claims beneficial ownership of 5.26 million shares—no less than 10 % of the company’s voting capital. Exercising the rights conferred by Article 116 of the Articles of Association, the shareholder is asking the board to table five ordinary resolutions at the forthcoming Annual General Meeting (AGM) on 28 September 2026.

The proposed resolutions seek to appoint: • Mr. Wang Xuesong and Mr. Yu Yonghui as Executive Directors; • Mr. Tsang Chi Hon and Mr. Liu Kwok Him as Independent Non-Executive Directors; • Mr. Chang Ta Tung as a Non-Executive Director.

Pursuant to Rule 13.70 of the Hong Kong Listing Rules, the company must distribute a circular containing full biographical details of the nominees and give shareholders at least seven days to review the information before voting. For voting eligibility, the register of members will close from 23 September 2026 to 28 September 2026 (both dates inclusive); share transfers must be lodged by 4:30 p.m. on 22 September 2026. The board is currently seeking professional advice on the requisition and its next steps.
