Leading Holdings Group Limited (Stock Code: 6999) announced that Independent Non-Executive Director Mr. Zhang Guanghu has resigned from the board, effective 1 December 2025. Along with his board seat, he also stepped down as the chairperson of the Audit Committee, as well as from the nomination committee and remuneration committee. According to the announcement, Mr. Zhang indicated he does not have any claim against the company or any disagreement with the board.

Upon this resignation, the company no longer meets certain requirements prescribed by the Listing Rules, including having at least three independent non-executive directors, maintaining a minimum of three members in the Audit Committee, ensuring a majority of independent non-executive directors on the remuneration and nomination committees, and achieving board diversity. Leading Holdings (6999) is actively identifying a suitable candidate to fill the independent non-executive director position as soon as practicable, in accordance with the required three-month window stipulated by the Listing Rules.
