Jardine Strategic completes buyout of Mandarin Oriental International

Mandarin Oriental International Limited announced on Jan, 19 2026 that the court-sanctioned scheme of arrangement with Jardine Strategic Limited, a wholly-owned subsidiary of Jardine Matheson Holdings Limited, has become effective, giving Jardine Strategic 100% ownership of the hotel group.

The transaction completes the purchase of the 11.96% stake in Mandarin Oriental that Jardine Strategic did not already own.

Trading in Mandarin Oriental shares was suspended on the London Stock Exchange, Singapore Exchange and Bermuda Stock Exchange on Jan, 19 2026. The company has applied to delist from all three exchanges on Jan, 20 2026.

Independent shareholders on the register at 6:00 p.m. Bermuda time on Jan, 16 2026 will receive a cash consideration of US$2.75 per share, with settlement to follow as soon as practicable.
