Shenzhen Expressway Corporation Limited announced that its First Extraordinary General Meeting (EGM) of 2026, held on 17 September 2026 in Shenzhen, approved the appointment of Mr. Liu Zheng Yu as an executive director of the company’s ninth board session. The sole ordinary resolution secured 1.72 billion votes in favour, representing 99.53% of votes cast, with a 0.46% dissent and 0.01% abstention. Shareholder turnout totalled 1.73 billion shares, or 68.10% of the company’s 2.54 billion issued shares.

Immediately following the EGM, the board convened its 67th meeting of the ninth session and elected Mr. Liu as Chairman. His directorship and chairmanship extend to the end of the current board term. Mr. Liu, a senior accountant holding an MBA from Xiamen University, brings extensive experience in corporate management, strategic planning, investment, M&A and capital operations. His prior roles include executive director and CEO of Shenzhen International Holdings Limited and senior positions at Shenzhen Investment Holdings Company Limited.

In line with existing regulations, Mr. Liu will not receive director’s fees or salary from Shenzhen Expressway, as he is already remunerated by the company’s controlling shareholder.

Concurrently, board committee compositions were revised effective 17 September 2026: • Strategy and Investment Committee: Mr. Liu (Chairman), Mr. Liao Xiang Wen, Mr. Chen Yun Jiang, Mr. Hou Sheng Hai and Mr. Miao Jun. • Nomination Committee: Mr. Miao Jun (Chairman), Mr. Li Fei Long, Mr. Xu Hua Xiang, Mr. Liu Zheng Yu and Ms. Jin Zhen Yuan.

All 11 directors attended the EGM, with three present in person and eight via electronic means. No shareholders were required to abstain under Hong Kong Listing Rule 13.40. The vote count for H-shareholders was supervised by Computershare Hong Kong Investor Services Limited, and Beijing Grandway (Shenzhen) Law Firm provided legal oversight.
