RESOURCES GLOBAL DEVELOPMENT LIMITED told investors that every motion tabled at its Apr, 29 2026 annual general meeting won shareholder approval by poll.

The meeting adopted the company’s Directors’ Statement and audited accounts for the year to Dec, 31 2025 and re-elected Executive Director and Deputy Chief Executive Officer Salim Limanto. Directors’ fees of about 0.158 million Singapore dollars for FY2026 will be paid quarterly in arrears.

Shareholders backed a final one-tier dividend of 0.0044 Singapore dollars a share for FY2025. Baker Tilly TFW LLP was re-appointed as external auditor.

Four mandates authorising the board to issue new shares—under a general mandate, an interested-person transactions mandate, the company’s Employee Share Option Scheme and Performance Share Plan—and authority to allot shares under the Scrip Dividend Scheme were all renewed.

During the question-and-answer session, the board confirmed that Independent Non-Executive Director Hew Koon Chan opted not to seek re-election after six years of service, aligning with the board’s renewal plans. Management said a trading halt requested on Apr, 27 2026 was to allow finalisation of an impending announcement, expected before market trading resumes on Apr, 30 2026.

Executives also addressed potential impacts from higher fuel prices and Middle East geopolitical tensions, noting that while cost pressures are rising, stronger coal prices may partly offset these effects. The company’s recently acquired coal mine has begun production and is expected to contribute positively to group results, though margins may vary across business segments.

The AGM concluded at 2:55 p.m. with thanks extended to shareholders and outgoing director Hew Koon Chan for his contributions.
