GRAND MING Group Holdings (01271) announced that, as of the date of this announcement, the company has not entered into any legally binding formal agreement with a potential buyer regarding the potential sale, and the exclusive period has already expired on December 21, 2025. On January 6, 2026 (Hong Kong Time), Yuet Kei Development Limited and Kam Dat Fu Limited (collectively, the "Potential Sellers"), both direct wholly-owned subsidiaries of Wellford Properties Holdings Limited and indirect wholly-owned subsidiaries of the company, received an Exclusive Rights Agreement and a Letter of Intent dated January 5, 2026, signed by a new potential buyer concerning the possible acquisition of two properties located in the New Territories of Hong Kong; negotiations are currently underway.

These properties are currently owned by Yuet Kei Development and Kam Dat Fu, respectively, with a total gross floor area of approximately 185,000 square feet. After considering the Group's current financial condition and strategic objectives, the Board believes that, should the potential transaction be completed, the net proceeds would enable the Group to reduce its overall indebtedness, thereby improving its financial position.

The Directors consider the terms of the Exclusive Rights Agreement and the Letter of Intent to be fair and reasonable and believe the potential transaction is in the overall interests of the company and its shareholders. Based on public information, the potential buyer is a subsidiary of a multinational corporation.
